5. Intellectual Property

All intellectual property rights in your software remain your property. Test scripts, frameworks, and documentation created specifically for your project become your property upon full payment. Generic testing tools and methodologies developed by ItWorks remain our intellectual property.

6. Service Level and Deliverables

We commit to:

• Delivering services with professional skill and care
• Providing regular progress reports as agreed
• Documenting all bugs and issues found with clear reproduction steps
• Meeting agreed-upon timelines and milestones

7. Limitation of Liability

While we strive for comprehensive testing, we cannot guarantee that all bugs will be found. Our liability is limited to the fees paid for services. We are not liable for any indirect, incidental, or consequential damages arising from the use of our services or any bugs that may remain in your software after testing.

8. Payment Terms

Payment terms are specified in individual service agreements. Generally:

• Invoices are issued monthly for retainer agreements
• Project-based work may require deposits
• Payment is due within 30 days of invoice date unless otherwise agreed

9. Termination

Either party may terminate the agreement with 30 days written notice. In case of material breach, the non-breaching party may terminate immediately. Upon termination, you will be billed for work completed up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania and applicable European Union regulations. Any disputes shall be resolved in the courts of Romania.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of significant changes via email. Continued use of our services after changes constitutes acceptance of the new terms.
